What This Agreement Is** This Early Access Agreement ("Agreement") is a supplemental agreement between you and Turf Warz LLC, a Colorado limited liability company ("Turf Warz," "we," "us," or "our"), that governs your participation in the early access period of the Turf Warz mobile application and any related services (the "Service"). This Agreement supplements, and does not replace, our [Terms of Service](/terms.html), [Privacy Policy](/privacy.html), and [Community Guidelines](/guidelines.html) (collectively, the "Core Agreements"). By using the Service during early access, you acknowledge that you have read, understood, and agree to be bound by this Agreement and all Core Agreements. If you do not agree to any part of this Agreement or the Core Agreements, do not use the Service. In the event of any conflict between this Agreement and the Core Agreements, this Agreement controls for the duration of the early access period. # **2. Early Access Nature of the Service** The Service is in **active development**. You are participating in an early access release, not a finished product. The Service is being made available to a limited number of users for the purpose of testing, gathering feedback, and iterating on gameplay, features, and infrastructure before a wider public release. By participating in early access, you understand and accept that: - The Service is experimental and under continuous development - Features, gameplay mechanics, scoring systems, and user interfaces may change significantly and without notice - The experience you have today may differ substantially from the experience at public launch - Early access may be extended, shortened, or ended at any time at our sole discretion - Your invitation to participate in early access may be revoked at any time, for any reason or no reason # **3. Feature Availability** Our Terms of Service, Privacy Policy, Community Guidelines, and Game Guide describe the **intended vision** for the Service. They do not constitute a guarantee that any specific feature, mechanic, or capability described in those documents is currently available, fully functional, or will ever be implemented. During early access: - Features described in our documentation may be partially implemented, not yet available, or behave differently than described - Features that exist today may be modified, redesigned, or removed entirely without notice - New features may be introduced at any time, with or without documentation - Gameplay mechanics, point values, XP calculations, territory decay rates, leveling curves, and competitive systems are subject to change as we balance and refine the game - Privacy controls and safety features described in our documentation are being implemented incrementally and may not all be available at any given time - No feature, mechanic, reward, or benefit described in any Turf Warz documentation is guaranteed to be delivered in any specific form or on any specific timeline # **4. No Software Is Bug-Free** All software contains bugs. This is an inherent reality of software development, and it applies to the Service regardless of its development stage. During early access, the likelihood and frequency of bugs is higher than in a mature product. You understand and accept that the Service may: - Contain bugs, errors, glitches, and defects that affect gameplay, data accuracy, and overall functionality - Crash, freeze, or become unresponsive during use - Produce inaccurate GPS data, walk statistics, distance calculations, calorie estimates, or other metrics - Display incorrect territory ownership, leaderboard standings, or competitive results - Fail to record walk data, territory claims, or other gameplay activity - Exhibit unexpected behavior including but not limited to UI rendering issues, notification failures, synchronization delays, and connectivity problems - Consume more battery, data, or device resources than expected We will make reasonable efforts to identify and fix bugs, but we do not guarantee that any specific bug will be fixed or that the Service will ever be entirely free of defects. # **5. Data and Account Risks** During early access, your data and gameplay progress are **not guaranteed to persist**. As part of the development process, we may need to perform actions that affect your account and data, including but not limited to: - Resetting or wiping gameplay data, including territory claims, XP, dog levels, prestige status, leaderboard standings, walk history, and pack membership - Resetting or modifying account data, settings, or preferences - Migrating data between systems in ways that may result in partial data loss or corruption - Modifying database schemas, which may require data transformations that alter or remove existing records - Performing full environment resets that return all accounts to their initial state While we will make reasonable efforts to preserve your data and to notify you in advance of planned resets, we are under no obligation to do so. You should not rely on the permanence of any data, progress, or content stored within the Service during the early access period. We strongly recommend that you do not make purchasing decisions, time investments, or other commitments based on the assumption that your early access data or progress will carry over to the general release of the Service. # **6. Service Availability** The Service may be taken offline, interrupted, degraded, or made entirely unavailable at any time and for any duration, with or without notice, for reasons including but not limited to: - Scheduled and unscheduled maintenance - Software updates, patches, and deployments - Infrastructure changes, migrations, or scaling operations - Bug fixes and emergency hotfixes - Server failures, network outages, or other technical issues - Any other reason at our sole discretion We do not guarantee any minimum level of uptime, availability, or performance during the early access period. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TURF WARZ LLC OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR RELATING TO YOUR PARTICIPATION IN THE EARLY ACCESS PERIOD, INCLUDING BUT NOT LIMITED TO: - LOSS OF GAMEPLAY PROGRESS, TERRITORY, XP, DOG LEVELS, PRESTIGE STATUS, LEADERBOARD STANDINGS, OR ANY OTHER IN-GAME DATA OR ACHIEVEMENTS - DATA RESETS, WIPES, MIGRATIONS, OR CORRUPTION, WHETHER PLANNED OR UNPLANNED - REMOVAL, MODIFICATION, OR UNAVAILABILITY OF ANY FEATURE, MECHANIC, OR CAPABILITY - CHANGES TO GAMEPLAY BALANCE, SCORING, LEVELING, DECAY RATES, OR COMPETITIVE SYSTEMS - SERVICE DOWNTIME, INTERRUPTIONS, OUTAGES, OR PERFORMANCE DEGRADATION - BUGS, ERRORS, CRASHES, OR UNEXPECTED BEHAVIOR OF ANY KIND - INACCURATE GPS DATA, WALK STATISTICS, OR FITNESS METRICS - ANY HARM ARISING FROM YOUR REAL-WORLD USE OF THE SERVICE, INCLUDING INJURY TO YOU, YOUR DOG, OR ANY THIRD PARTY - ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TURF WARZ'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR PARTICIPATION IN EARLY ACCESS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100.00 USD) OR (B) THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO TURF WARZ IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. IN SUCH JURISDICTIONS, TURF WARZ'S LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. # **10. Indemnification** The indemnification obligations in Section 18 of our Terms of Service apply in full during the early access period. In addition, you agree to defend, indemnify, and hold harmless Turf Warz LLC and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: - Your participation in the early access period - Any Feedback you provide to Turf Warz - Your failure to comply with this Agreement - Any claim that your use of the Service during early access caused harm to any third party # **11. Changes to Early Access** We reserve the right, at our sole discretion and at any time, to: - Modify, update, or replace this Agreement, with notice provided through the Service - End the early access period and transition the Service to general availability, with or without changes to pricing, features, or terms - Introduce paid features, subscriptions, or in-app purchases at any time - Change the eligibility requirements for early access participation - Revoke any user's access to the early access program at any time, for any reason or no reason - Reset, modify, or decline to carry over any early access data, progress, or benefits to the general release Your continued use of the Service after any changes to this Agreement constitutes your acceptance of the updated terms. If you do not agree to the changes, you must stop using the Service. # **12. Assumption of Risk** Turf Warz is a location-based game that requires you to walk outdoors with your dog in the real world. By participating in early access, you expressly acknowledge and assume the following risks: - Physical risks associated with outdoor activity, including but not limited to injury from falls, traffic, weather conditions, terrain hazards, and encounters with other people or animals - Risks to your dog's health and safety, including overexertion, heat exposure, cold exposure, injury, or encounters with other animals - Risks arising from distraction caused by using a mobile device while walking - Risks associated with visiting unfamiliar locations or neighborhoods in connection with gameplay - Risks associated with using a Service that is under active development and may not function as expected You are solely responsible for your own safety and the safety and wellbeing of your dog at all times while using the Service. No gameplay objective, territory claim, leaderboard position, or competitive goal is worth compromising your safety or your dog's safety. # **13. Confidentiality** During early access, you may be exposed to features, designs, mechanics, or other aspects of the Service that have not been publicly released. While we do not impose a formal non-disclosure obligation, we ask that you exercise good judgment and refrain from publicly sharing details about unreleased features, internal communications from the Turf Warz team, or other information that is clearly intended for early access participants only. # **14. Governing Law and Jurisdiction** This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles. To the extent any dispute arising under this Agreement is not subject to arbitration under Section 19 of our Terms of Service, you and Turf Warz agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Denver, Colorado. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND TURF WARZ EACH WAIVE THE RIGHT TO A JURY TRIAL IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO THIS AGREEMENT. # **15. General Provisions** **Severability.** If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect. **Entire Agreement.** This Agreement, together with the Terms of Service, Privacy Policy, and Community Guidelines, constitutes the entire agreement between you and Turf Warz regarding your participation in early access and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written, regarding the same subject matter. **Waiver.** The failure of Turf Warz to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision. Any waiver of any provision of this Agreement will be effective only if in writing and signed by Turf Warz. **Assignment.** You may not assign or transfer this Agreement or any rights or obligations under it without the prior written consent of Turf Warz.
